Terms of Use

These Terms of Use (“Terms”) govern your access to and use of websites, content, communities, programs, technology, and other services provided by BuildLogIQ Group, Inc. (“BuildLogIQ,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms. If you do not agree, do not use the services.

1. Eligibility and authority

You must be at least 18 years old and legally able to enter into these Terms. If you use the services for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. BuildLogIQ services

BuildLogIQ provides business content, membership and peer-community experiences, operational and advisory resources, and technology intended for owner-led contractors and trusted industry professionals. Specific offerings may be governed by an order form, membership agreement, statement of work, purchase agreement, or other written agreement. If another written agreement conflicts with these Terms, that agreement controls for the applicable offering.

3. Accounts and accurate information

You agree to provide accurate information, maintain the confidentiality of account credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity conducted through your account.

4. Membership and community conduct

BuildLogIQ communities depend on candor, discretion, and trust. You may not record, distribute, attribute, or commercially exploit another participant’s confidential statements, documents, or business information without authorization. Membership may be invitation-based, subject to review, and limited or ended when necessary to protect the community or enforce applicable agreements.

5. Educational information; no professional advice

Our content and services are provided for general business, educational, and informational purposes. They do not constitute legal, tax, accounting, investment, engineering, safety, employment, insurance, or other regulated professional advice. You remain responsible for obtaining qualified professional advice and for decisions affecting your company, projects, employees, clients, or finances.

6. AI and decision intelligence

Features may use artificial intelligence to organize information, generate drafts, identify patterns, or support decisions. AI output may be incomplete, inaccurate, or unsuitable for a particular purpose. You must independently evaluate output and apply appropriate human review. BuildLogIQ does not make decisions for you and is not responsible for actions taken solely in reliance on automated output.

7. Your content

You retain ownership of information, documents, and materials you submit (“User Content”). You grant BuildLogIQ a nonexclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and otherwise use User Content as reasonably necessary to provide, secure, maintain, and improve the services. You represent that you have the rights needed to provide User Content and that doing so does not violate law or another person’s rights.

8. Confidential and sensitive information

Do not submit information you are not authorized to disclose. Unless a specific written agreement states otherwise, the services are not designed to receive protected health information, classified information, payment-card authentication data, or other highly regulated information.

9. Intellectual property

The services, website, software, designs, methods, branding, articles, frameworks, graphics, and other BuildLogIQ materials are owned by BuildLogIQ or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to access and use the services for their intended business purpose. No other rights are granted.

10. Acceptable use

You may not:

• use the services unlawfully, fraudulently, or to harm another person;
• interfere with security, integrity, availability, or normal operation;
• attempt unauthorized access to accounts, systems, or data;
• reverse engineer, scrape, copy, or extract the services except where law expressly permits;
• upload malware or harmful code;
• misrepresent identity, affiliation, authority, or the source of information;
• use another member’s confidential information without permission; or
• use the services or output to develop or train a competing model, dataset, or service without written authorization.

11. Fees and payment

Fees, billing schedules, renewals, cancellation terms, and refund rights, if any, will be described in the applicable order form or service agreement. You are responsible for applicable taxes other than taxes on BuildLogIQ’s income.

12. Third-party services

The services may integrate with or link to third-party services. BuildLogIQ does not control and is not responsible for third-party services, terms, content, availability, or security.

13. Suspension and termination

We may suspend or terminate access if you violate these Terms, create risk or harm, fail to pay applicable fees, or if suspension is reasonably necessary to protect the services or other users. You may stop using the services at any time, subject to applicable written agreements.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BUILDLOGIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDLOGIQ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDLOGIQ’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID BUILDLOGIQ FOR THE APPLICABLE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless BuildLogIQ and its affiliates, officers, directors, employees, and agents from claims, damages, losses, liabilities, and expenses arising from your User Content, your misuse of the services, or your violation of these Terms or another person’s rights.

17. Disputes and applicable law

Before filing a formal claim, each party agrees to provide written notice describing the dispute and to attempt in good faith to resolve it informally for at least 30 days. These Terms are governed by applicable law, without regard to conflict-of-law principles. Any mandatory rights or procedures available to you under applicable law remain unaffected.

18. Changes to services or terms

We may modify the services and these Terms. Updated Terms will be posted with a revised effective date. Continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.

19. General terms

If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, merger, acquisition, or sale of assets. These Terms and any applicable written agreement constitute the entire agreement regarding the relevant services.
